⚠️ BINDING AGREEMENT - READ CAREFULLY
BY ACCESSING, REGISTERING, OR USING ANY PART OF THE AIVIBE CLOUD PLATFORM, YOU AUTOMATICALLY AND IRREVOCABLY AGREE TO ALL TERMS AND CONDITIONS HEREIN WITHOUT REQUIRING SEPARATE CONSENT OR SIGNATURE. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.
1. Service Providers
Services are provided by:
AiVibe Software Services Pvt Ltd - Chennai, Tamil Nadu, India
AiVedha Inc - Chennai, Tamil Nadu, India (operating in New York, USA via aivedha.ai, aivedha.com)
Alfa Precision Industries - Chennai, Tamil Nadu, India
All entities are collectively referred to as "we," "us," or "AiVibe" throughout this document.
2. Governing Law & Jurisdiction
EXCLUSIVE JURISDICTION - CHENNAI, TAMIL NADU, INDIA
These terms are governed EXCLUSIVELY by the laws of Chennai, Tamil Nadu, India, regardless of:
• Your country of residence or citizenship
• Your physical location when using services
• Where the contract was formed
• Conflict of laws principles
• Local consumer protection laws in your country
ANY DISPUTE SHALL BE RESOLVED EXCLUSIVELY IN CHENNAI COURTS. YOU IRREVOCABLY WAIVE ANY OBJECTION TO CHENNAI JURISDICTION AND VENUE.
3. Services Provided
AiVibe Cloud Platform provides cloud-based software services including but not limited to:
SaaS applications and web services
Content management systems (CMS)
Data storage and processing
AI/ML-powered features
API access and integrations
User authentication and account management
SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OR GUARANTEES OF FUNCTIONALITY, UPTIME, OR PERFORMANCE.
4. User Obligations & Acceptable Use
4.1 Account Responsibilities
You are SOLELY responsible for:
Maintaining confidentiality of account credentials
All activities under your account
Ensuring accurate and current information
Compliance with all applicable laws
Protecting your data and backups
4.2 Prohibited Activities
You shall NOT:
Use services for illegal, fraudulent, or harmful purposes
Attempt to hack, breach security, or access unauthorized areas
Transmit malware, viruses, or malicious code
Scrape, data mine, or extract data without permission
Resell, sublicense, or redistribute services without authorization
Interfere with service operation or other users
Reverse engineer, decompile, or disassemble our software
5. Payment Terms
5.1 Payment Methods
We accept payments through:
Zoho Payments
PayPal (International)
Razorpay (India & International)
PayU India
PhonePe (India & Global via aivedha.ai, aivedha.com, aivibe.in)
• All prices are in INR, USD, EUR, AED, or AUD as applicable
• Subscription fees are billed in advance
• Payments are NON-REFUNDABLE (see Refund Policy)
• We may change prices at any time without notice
• You authorize automatic recurring billing for subscriptions
• Failed payments may result in immediate service suspension
5.3 Third-Party Payment Policies
You are subject to the terms and policies of the payment gateway used. We are NOT responsible for payment gateway fees, disputes, or processing issues. Refer to each gateway's terms:
✗NO WARRANTY of merchantability, fitness for particular purpose, or non-infringement
✗NO GUARANTEE of service uptime, availability, or continuity
✗NO PROMISE that services will meet your requirements or expectations
✗NO ASSURANCE that services will be error-free, secure, or uninterrupted
✗NO COMPENSATION for data loss, service disruption, or business impact
✗NO LIABILITY for third-party service failures or security breaches
YOU USE SERVICES ENTIRELY AT YOUR OWN RISK.
7. Limitation of Liability
MAXIMUM LIABILITY CAP:
In ANY event - including breach of contract, negligence, data loss, service failure, security breach, or ANY other claim - our MAXIMUM TOTAL LIABILITY is limited to:
• INR 100 (One Hundred Indian Rupees), OR
• USD 1 (One US Dollar), OR
• EUR 1 (One Euro), OR
• AED 1 (One UAE Dirham), OR
• AUD 1 (One Australian Dollar)
THIS LIMIT APPLIES REGARDLESS OF:
✓ The legal theory (contract, tort, strict liability, etc.)
✓ Whether we were advised of the possibility of damages
✓ National consumer protection laws
✓ Court jurisdiction or applicable law
✓ Class action or individual claim
THIS LIMITATION OVERRIDES ALL NATIONAL COMPENSATION LAWS GLOBALLY.
8. Cloud Infrastructure & Third-Party Services
Our services utilize the following cloud infrastructure providers and their on-premises alternatives:
Amazon Web Services (AWS) - Cloud compute, storage, database
Google Cloud Platform (GCP) - Cloud services, AI/ML
Microsoft Azure - Cloud infrastructure, enterprise services
IBM Cloud - Cloud solutions, Watson AI
On-Premises Infrastructure - Self-hosted servers and data centers
WE ARE NOT LIABLE for failures, outages, security breaches, or data loss caused by third-party cloud providers. You accept the risks associated with cloud-based services.
9. Open Source & Third-Party Software
Our platform incorporates numerous open-source libraries and third-party dependencies, including:
NPM packages and JavaScript libraries
GitHub-hosted repositories and dependencies
Apache, MIT, GPL, and various open-source licenses
Third-party APIs and integrations
YOU ACCEPT: All open-source licenses, terms, and conditions of third-party software incorporated in our services. We comply with open-source licenses but are NOT responsible for third-party software vulnerabilities, bugs, or security issues.
10. Data Usage & Privacy
By using our services, you agree to our Privacy Policy, which forms part of these Terms. Key points:
✓ We WILL use your data for marketing and may share with third parties
✓ Automatic consent is granted upon account creation or service use
✓ We are NOT liable for data breaches or hacking incidents
✓ You accept all risks related to data processing and storage
11. Employee Actions & Director Liability
LIMITATION OF DIRECTOR/STAKEHOLDER LIABILITY:
Directors, stakeholders, shareholders, and officers of AiVibe Software Services Pvt Ltd, AiVedha Inc, and Alfa Precision Industries are NOT RESPONSIBLE OR LIABLE for:
• Employee violations of terms or policies
• Employee misuse or unauthorized access to user data
• Employee misconduct, negligence, or criminal acts
• Operational failures caused by employee actions
IF ANY EMPLOYEE VIOLATES THESE TERMS OR MISUSES USER DATA, ONLY THAT EMPLOYEESHALL BE HELD SOLELY AND EXCLUSIVELY RESPONSIBLE. Corporate entities and leadership are indemnified.
12. Service Modifications & Termination
We reserve the right to:
Modify, suspend, or discontinue any service at any time WITHOUT notice
Change features, functionality, or pricing without prior notification
Terminate user accounts for ANY reason or NO reason
Update these Terms at any time (continued use equals acceptance)
Remove, delete, or modify user content without warning
YOU HAVE NO RECOURSE OR COMPENSATION FOR SERVICE CHANGES OR TERMINATION.
13. User Indemnification
You agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS AiVibe Software Services Pvt Ltd, AiVedha Inc, Alfa Precision Industries, and their directors, officers, employees, and agents from:
Any claims, damages, losses, or liabilities arising from your use of services
Your violation of these Terms or applicable laws
Your content, data, or actions on the platform
Third-party claims related to your account or activities
Infringement of intellectual property or privacy rights
14. Dispute Resolution
14.1 Arbitration
Any dispute shall first be resolved through binding arbitration in Chennai, Tamil Nadu, India under Indian Arbitration and Conciliation Act, 1996.
14.2 Court Jurisdiction
If arbitration fails, disputes shall be resolved EXCLUSIVELY in Chennai courts. You waive any right to jury trial or class action participation.
15. Severability & Survival
If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force. Sections 6 (No Warranties), 7 (Limitation of Liability), 11 (Director Liability), and 13 (Indemnification) survive termination of your account or these Terms.
